General terms of use

These terms govern access to the Imvestland website, the use of published content and the framework applicable before any investment decision.

Important notice

Investing in international real estate projects presented by Imvestland involves a risk of partial or total loss of capital. Past performance is not a reliable indicator of future performance and the returns shown are projections, not guarantees.

Investments are illiquid and there is no organized secondary market. The platform does not hold a FINMA authorization and is not subject to prudential supervision. Before any investment, read the full Disclaimer, these Terms of Use and the contractual documentation specific to each opportunity.

Preamble

These General Terms of Use govern access to and use of imvestland.ch, operated by S2I (Swiss Innovative Investment) SA, a Swiss corporation with registered office at Voie du Chariot 3, 1003 Lausanne, Switzerland, registered under IDE CHE-217.181.891.

Imvestland is the commercial brand operated by S2I for international real estate investment activities. Use of the website implies full acceptance of these Terms of Use, the Disclaimer, the Privacy Policy and, where applicable, the specific terms for each opportunity.

Article 1 — Definitions

  • Website: imvestland.ch and all its subdomains.
  • Company / Imvestland: S2I (Swiss Innovative Investment) SA, operator of the Imvestland brand.
  • User: any natural or legal person accessing the website, whether registered or not.
  • Investor: any user who has completed identification procedures and participates in an opportunity.
  • Opportunity / Project: any real estate financing project presented or referenced on the website.
  • SPV / Project company: the dedicated legal vehicle carrying the underlying real estate project.
  • Contractual documentation: the legal documentation specific to each opportunity, including term sheets, loan agreements, KYC/AML documents and special conditions.
  • Advisor: client advisor within the meaning of FinSA, registered with the ARIF advisor register.

Regulatory status: the Company carries out financial intermediary activities in the context of international real estate investment. It is affiliated with ARIF for AML and FinSA purposes, represented by Gillian Nespolo, registered in the ARIF client advisor register under number 4038, and affiliated with the FINSOM mediation body.

The Company does not hold a FINMA authorization and is not subject to FINMA prudential supervision. Hosting, content delivery and selected technical services are provided by cloud providers selected by the Company.

Article 3 — Purpose of the Website and nature of published information

The website presents the Company, its team, its approach and international real estate investment opportunities, and provides editorial content for informational and educational purposes.

Published content is provided for informational and commercial purposes only. It does not constitute legal advice, tax advice, personalized investment advice, a public offer or independent financial research.

Each opportunity is governed by its contractual documentation, which prevails in case of discrepancy with website content. The decision to invest is the sole responsibility of the investor.

Article 4 — Access conditions and capacity

General website content is freely accessible. Access to full contractual documentation, the personal area and subscription to an opportunity is conditional on the following requirements.

  • Legal age and full legal capacity.
  • Creation of an account with accurate and up-to-date identification data.
  • Completion of KYC and AML procedures in accordance with Swiss law.
  • Where applicable, confirmation of qualified investor status under FinSA.
  • Reading and acceptance of these Terms of Use and the Disclaimer.

Territorial restrictions

Opportunities presented on the website are not directed, directly or indirectly, at US Persons or at persons located in jurisdictions where the promotion or marketing of such products would be contrary to local law. Users are responsible for verifying that they may legally access the content and invest.

Article 5 — User account and security

Users undertake to provide accurate, complete and up-to-date information when creating an account and to keep it current. They are solely responsible for the confidentiality of their credentials and for all actions carried out through their account.

The Company may suspend or delete an account in case of breach of these Terms, suspected fraud or money laundering, violation of applicable law, or any legitimate reason.

Article 6 — Investment process

The Company may refuse any subscription at its sole discretion without having to state reasons.

  • Expression of interest by the user.
  • Identification and KYC/AML verification by the Company or its designated provider.
  • Where applicable, verification of qualified investor status.
  • Delivery of complete contractual documentation for the opportunity.
  • Reasonable reflection period for the investor.
  • Electronic signature of the loan agreement with the SPV.
  • Transfer of funds to segregated escrow or payment accounts held by regulated third parties.
  • Confirmation of subscription by the Company.
  • Granting of the loan to the SPV or project company according to contractual terms.

Article 7 — Escrow and financial flows

Investor funds are not held by the Company. They transit through segregated escrow or payment accounts held by regulated third-party financial intermediaries, distinct from the Company.

The Company does not conduct banking activity and investor funds are not covered by a deposit guarantee scheme.

Article 7 bis — Lemonway payment provider

The Imvestland platform may rely on Lemonway for payment management, payment wallets and financial flows related to investments.

Lemonway acts as a payment service provider according to the terms applicable to the investor journey and its own general terms of use.

Article 8 — Fees

Any applicable fees are specified in the contractual documentation for each opportunity. No fee relating to an opportunity is due without prior information in the relevant documents or subscription journey.

Article 9 — Potential guarantees and defaults

Some opportunities may benefit from real or personal security interests, including mortgages, guarantees or pledges. These security interests do not guarantee full recovery of invested capital in case of default by the SPV or project company.

Article 10 — Intellectual property

The website structure, texts, images, videos, audio, graphics, logos, trademarks, databases, source code and all other content are the exclusive property of the Company or its licensors and are protected by Swiss and international intellectual property law.

Any reproduction, representation, modification, adaptation, translation, distribution or exploitation, in whole or in part, without prior written authorization from the Company, is prohibited.

Article 11 — Liability

The Company uses reasonable efforts to ensure website availability, without guaranteeing uninterrupted or error-free access. The website may be interrupted for maintenance, updates or technical constraints.

The Company endeavors to publish accurate and up-to-date information but cannot be held liable for errors, omissions or delayed updates. Users must independently verify any information before using it for an investment decision.

To the extent permitted by Swiss law, the Company's liability is limited to direct damages resulting from gross negligence or intentional misconduct.

Article 12 — Risk warning (Disclaimer)

The user acknowledges having read the Disclaimer published on imvestland.ch/disclaimer, which details risks associated with opportunities, and accepts these risks with full knowledge. The Disclaimer forms an integral part of these Terms of Use.

Article 13 — Privacy policy and personal data

The terms governing the collection, processing and storage of personal data are described in the Privacy Policy available at imvestland.ch/confidentialite.

Processing complies with the revised Swiss Federal Act on Data Protection and, where applicable, the GDPR for users residing in the European Union.

Article 14 — Cookies

The website uses cookies and similar technologies to ensure operation, measure audience and personalize the user experience. Users can configure preferences through the consent banner or browser settings.

Article 15 — Electronic communications

The user consents to receive electronic communications from the Company in connection with their account or investments. Newsletter subscription is optional and may be withdrawn at any time.

Article 16 — Modification of the Terms

The Company may modify these Terms of Use at any time. The applicable version is the version in force on the date of website use. Users with an account are informed of substantial changes by email at least 30 days before they take effect.

Article 17 — Force majeure

The Company cannot be held liable for non-performance or delayed performance of its obligations resulting from force majeure under Swiss law, including strikes, fire, flood, pandemic, embargo, cyberattack, network failure or public authority decision.

Article 18 — Severability

If one or more provisions of these Terms are declared invalid or unenforceable by a competent court, the other provisions remain in full force. The affected provision will, as far as possible, be replaced by a valid provision pursuing the same economic and legal purpose.

Article 19 — Complaints and mediation

Any complaint may be sent in writing to Imvestland c/o S2I (Swiss Innovative Investment) SA, Voie du Chariot 3, 1003 Lausanne, or by email to info@imvestland.ch. The Company endeavors to provide a reasoned response within 30 days.

Failing an amicable resolution, the user may contact the competent mediation body, FINSOM (Financial Services Ombudsman), in accordance with art. 74 FinSA.

Article 20 — Applicable law and jurisdiction

These Terms of Use are governed by Swiss law, excluding conflict-of-law rules. Any dispute relating to their formation, interpretation, performance or termination is subject to the ordinary courts of the Canton of Vaud in Lausanne, subject to mandatory consumer protection rules.
